Examples include the offshore acquisition of a Russian bank (€700m) and a Ukrainian bank (€80m) by a national institution - by far the largest overseas acquisitions by a Cypriot institution.
Our firm also advised on the biggest onshore deal (€288m), involving the acquisition of the leading construction company in Cyprus by an investment fund listed on AIM. The same team also defended a Cypriot bank against a hostile takeover bid by another, with the bid eventually being withdrawn.
Over the last decade in particular, our International Corporate Department has offered legal guidance relevant to several major financial transactions.
Our team is currently advising on a €1 billionrestructured finance transaction involving a group corporate structure with companies from Russia, BVI and Cyprus, whereby the Cypriot companies are acting as guarantors and are also providing security over their assets.
Earlier, our International Corporate Department was consulted on an international financing transaction worth over $500m. In addition to providing legal feedback, the team examined all the required agreements and legal documentation from the Cyprus law perspective and issued a legal opinion while liaising and working closely with the respective lawyers in all the other jurisdictions involved in the transactions.
During the last few years, the same department legally supported the listing of a few Cyprus Public Companies on the London and Hong Kong Stock Exchanges. It was called upon to review and examine, from the Cyprus law perspective, all the required documentation (including applications and prospectuses).
In addition to this, our legal support was provided for the reconstruction and re-organisation of international corporate structures involving Cypriot companies. This included drafting, reviewing and advising on various agreements such as: inter alias, joint venture agreements, shareholders and share purchase agreements, escrow agreements, trusts and escrow arrangements, among others.
